During one of the discussions, Mr. Sincere explains that he has knowledge of an investment opportunity that the company Top Buy should become engaged in. The Directors all agree that the investment opportunity seems lucrative and that the Company should invest. The Directors pass a resolution to the effect that Top Buy should invest in this investment opportunity in Sail Sea Ltd.
About 5 months later an anonymous letter is written to the Board of Directors indicating that Mr. Sincere is a major shareholder in Sail Sea Ltd. Using case law and legislation, what advice would you give to the Board in this matter?
